These Terms constitute a legal agreement between you ("Client," "you," or "your") and FinOpSys, governing your use of our website, platform, and all associated bookkeeping, payroll, tax, and accounting services (collectively, the "FinOpSys Services").

1. Acceptance of Terms

By registering for, accessing, or using the FinOpSys Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other applicable agreements, policies, or documents referenced herein. If you do not agree, you must not use the FinOpSys Services.

2. Scope of Services

FinOpSys provides cloud-based accounting services tailored to small and medium-sized U.S. businesses. Services may include:

  • Bookkeeping and financial reporting

  • Accounts receivable and payable management

  • Payroll processing

  • Tax preparation support (not legal filing)

  • Financial advisory and analytics

Any services provided are for informational purposes and not intended as legal, tax, investment, or financial advice.

3. Registration and Account Responsibility

You must register and maintain an active account to use our services. During registration, you agree to:

  • Provide accurate, complete information

  • Maintain confidentiality of your login credentials

  • Notify us immediately of any unauthorized access to your account

You are solely responsible for all activity that occurs under your account.

4. Service Limitations

FinOpSys is not a CPA firm or law firm. Our services do not include:

  • Legal, real estate, or HR compliance

  • Tax filings without your final approval

  • Audit or assurance services

You are responsible for reviewing the outputs and ensuring their accuracy and compliance.

5. Use of Third-Party Tools

We may integrate with or use third-party services (e.g., QuickBooks, Stripe, payroll processors) to deliver our services. Your use of such services is subject to their respective terms. You authorize FinOpSys to access, store, and manage your data from those services solely for providing the contracted services.

6. Fees and Payment

Fees are specified in your service agreement or engagement letter. All fees are:

  • Due upon receipt or based on subscription terms

  • Exclusive of applicable taxes

  • Non-refundable unless otherwise stated

We reserve the right to suspend services if payments are not received on time.

7. Confidentiality and Data Security

We maintain administrative, technical, and physical safeguards to protect your confidential information. FinOpSys agrees not to disclose your information to third parties, except as required to deliver services or comply with legal obligations.

You remain responsible for:

  • The accuracy of data provided to us

  • The security of your systems used to access FinOpSys Services

8. Client Responsibilities

You agree to:

  • Provide timely, accurate data

  • Respond to documentation requests

  • Retain copies of financial records

FinOpSys is not responsible for errors resulting from inaccurate or incomplete data supplied by you.

9. Intellectual Property

All content, tools, software, and methodologies provided by FinOpSys remain our intellectual property. You may not duplicate, reverse-engineer, or distribute any part of our platform or materials without express written consent.

10. Acceptable Use

You agree not to:

  • Use the services for any unlawful activity

  • Infringe upon intellectual property or privacy rights

  • Interfere with the platform's performance or access

11. Modifications

We reserve the right to update these Terms at any time. Material changes will be communicated via email or platform notification. Continued use of the FinOpSys Services after updates constitutes acceptance of the revised Terms.

12. Termination

Either party may terminate the engagement with 30 days' written notice. FinOpSys may terminate immediately for violations of these Terms. Upon termination:

  • Your access will be revoked

  • Outstanding fees remain due

  • We may retain a copy of your data for regulatory or legal compliance

13. Limitation of Liability

FinOpSys shall not be liable for indirect, incidental, or consequential damages, including loss of data, profits, or business opportunities. Our total liability for any claim shall not exceed the fees paid by you in the previous six months.

14. Indemnification

You agree to indemnify and hold harmless FinOpSys and its affiliates, employees, and partners from any claims, liabilities, or damages arising from your misuse of the services or violation of these Terms.

15. Governing Law

These Terms shall be governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Wyoming, unless otherwise agreed.

16. Entire Agreement

These Terms, along with our Privacy Policy and any executed engagement letter, constitute the entire agreement between you and FinOpSys. No other oral or written communication shall modify or supplement these Terms unless formally agreed upon.
